Welcome to Nuvari. These Terms of Service ("Terms") govern your access to and use of the website, mobile applications, and services (collectively, the "Services") provided by Nuvari Health, LLC ("Nuvari," "we," "us," or "our"), a New Jersey limited liability company.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Acceptance of Terms

By creating an account, completing an assessment, placing an order, joining our waitlist, or otherwise using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and (when you start a clinical visit) the Telehealth Informed Consent presented at that time. These Terms constitute a legally binding agreement between you and Nuvari Health, LLC.

2. Eligibility

To use our Services, you must:

• Be at least 18 years of age
• Be a legal resident of the United States
• Be located in a state where our Services are available
• Be capable of forming a binding contract
• Not be a person barred from receiving services under the laws of the United States or any applicable jurisdiction

By using our Services, you represent and warrant that you meet all eligibility requirements.

3. Account Registration

To access certain features of our Services, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate your account if any information provided is inaccurate, misleading, or incomplete.

4. Description of Services

Nuvari is a wellness storefront and technology platform. We do not practice medicine. We connect you with our clinical services partner, which provides physician consultations, prescriptions, and pharmacy fulfillment through its own licensed network. Our Services include:

• Wellness storefront: Information about wellness protocols, account management, order management, customer support, and shipping coordination
• Clinical handoff: When you start a clinical visit, you are connected with our clinical services partner, where a licensed physician collects your health intake, evaluates whether a protocol is appropriate, and (if so) issues a prescription
• Pharmacy fulfillment: Prescriptions are dispensed by licensed US pharmacies and shipped directly to you
• Ongoing care: Periodic check-ins and protocol adjustments are conducted by your healthcare provider through our clinical services partner

Important: All clinical decisions — including evaluation, diagnosis, prescribing, and treatment — are made by independent licensed healthcare providers, not by Nuvari. Nuvari does not collect, store, or process medical records, lab results, prescriptions, or diagnoses. Not every person who starts a visit will qualify for treatment. A healthcare provider may determine that a protocol is not appropriate for you.

5. Telehealth Services

Telehealth consultations and clinical care are provided by independent licensed physicians through our clinical services partner. When you start a clinical visit, you will be presented with a Telehealth Informed Consent specific to that engagement, which you must review and accept before clinical services begin.

Telehealth consultations are not a replacement for in-person medical care. If you are experiencing a medical emergency, call 911 immediately or go to your nearest emergency room.

6. Prescriptions and Pharmacy

• All prescriptions are written at the sole discretion of licensed healthcare providers. Nuvari does not guarantee that you will receive a prescription.
• Medications are compounded and dispensed by licensed US pharmacies in compliance with applicable federal and state laws.
• You are responsible for providing accurate health information. Providing false or misleading health information may result in inappropriate treatment and account termination.
• You agree to follow all instructions provided by your healthcare provider and pharmacist regarding the use of prescribed medications.
• Compounded medications are not FDA-approved. They are prepared by FDA-regulated pharmacies using FDA-approved active pharmaceutical ingredients.

7. Pricing, Billing, and Subscriptions

7.1 Pricing

All prices are listed in U.S. dollars and are subject to change. Current pricing for all protocols is available on our website. Prices do not include applicable taxes, which will be calculated at checkout.

7.2 Subscription Services

Certain protocols are offered as monthly subscriptions. By subscribing, you authorize Nuvari to charge your payment method on a recurring basis at the then-current rate until you cancel.

7.3 Auto-Renewal

Subscriptions automatically renew each billing cycle unless cancelled before the renewal date. You will receive a reminder email before each renewal. Renewal charges are processed on the same date each month (or the nearest available date).

7.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at legal@nuvarihealth.com. Cancellation takes effect at the end of the current billing period. No refunds will be issued for partial billing periods.

7.5 Refunds

Due to the custom nature of compounded medications, refunds are generally not available once a prescription has been filled and shipped. Refund requests for other circumstances will be reviewed on a case-by-case basis.

8. Prohibited Uses

You agree not to:

• Use our Services for any unlawful purpose
• Provide false, inaccurate, or misleading health or personal information
• Attempt to obtain prescriptions for anyone other than yourself
• Resell, redistribute, or transfer any medications obtained through our Services
• Interfere with or disrupt the Services or servers
• Attempt to gain unauthorized access to any part of the Services
• Use automated systems (bots, scrapers, etc.) to access the Services
• Harass, abuse, or harm other users or our staff
• Use the Services in any way that violates applicable federal, state, or local laws

9. Intellectual Property

All content, features, and functionality of our Services — including text, graphics, logos, icons, images, audio, software, and the "Nuvari" name and mark — are owned by or licensed to Nuvari Health, LLC and are protected by United States and international intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any of our content without our prior written consent.

10. User Content

By submitting content through our Services (including support messages and feedback), you grant Nuvari a non-exclusive, royalty-free, worldwide license to use, store, and process that content as necessary to provide and improve our Services. You retain ownership of your content. Nuvari handles the personal information it collects in accordance with our Privacy Policy. Health information you submit through the clinical intake is collected and handled by our clinical services partner under their separate privacy practices.

11. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, NUVARI DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that our Services will be uninterrupted, error-free, or secure, or that any defects will be corrected. We do not guarantee specific health outcomes from the use of our Services or any prescribed medications.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NUVARI HEALTH, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO NUVARI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Nuvari is not liable for clinical decisions made by independent healthcare providers, actions of third-party pharmacies, or any adverse reactions to prescribed medications.

13. Indemnification

You agree to indemnify, defend, and hold harmless Nuvari Health, LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising from your use of the Services, violation of these Terms, or infringement of any rights of another party.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the state and federal courts located in the State of New Jersey for the resolution of any disputes arising from these Terms or your use of our Services.

15. Dispute Resolution

15.1 Informal Resolution

Before filing any formal legal action, you agree to first contact us at legal@nuvarihealth.com and attempt to resolve the dispute informally for at least thirty (30) days.

15.2 Binding Arbitration

If informal resolution fails, any dispute shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in the State of New Jersey. The arbitrator's decision shall be final and binding.

15.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

16. Termination

We may suspend or terminate your access to our Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive termination (including Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution) shall survive.

17. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email or by posting a notice on our website. Your continued use of the Services after such changes constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using our Services.

18. Severability

If any provision of these Terms is held invalid or unenforceable, that provision shall be modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, Telehealth Informed Consent, and Consumer Health Data Privacy Policy, constitute the entire agreement between you and Nuvari Health, LLC regarding the use of our Services.
